Service Terms & Conditions

Parties
Electronic Receptionist is a trading style of Intrinity AI Limited, a company registered in England and Wales (Company No. 16308468) with its registered office at {{address}} (“Provider”, “we”, “us”).
The Client (“you”) is the business completing payment and onboarding to use the service.
1. Service Description
1.1 We provide an AI-powered receptionist service tailored for garages, which may include:
Answering inbound calls and/or live chats
Capturing caller details (name, number, registration, enquiry)
Sending booking confirmations, reminders, and follow-ups
Integrating with your booking or Garage Management System (where feasible)
Providing transcripts, call recordings, and performance reports
1.2 Available features depend on your chosen subscription plan (e.g., Solo Spanner, Busy Garage).
2. Payment & Fees
2.1 You agree to pay the subscription fee shown on the payment page at the time of sign-up.
2.2 Usage charges (e.g., per call minute, per message) apply as detailed in the pricing schedule.
2.3 All fees are exclusive of VAT, charged at the prevailing rate.
2.4 Payments are processed via Stripe (or another payment processor). Subscriptions renew automatically each month unless cancelled.
2.5 Late or failed payments may result in service suspension or termination.
3. Setup & Onboarding
3.1 After payment, you must complete the onboarding form so we can configure your service.
3.2 We may need access to your booking system or third-party services (e.g., Twilio for phone numbers). You agree to provide accurate details.
3.3 While setup times may vary, we aim to activate services promptly once all information is received.
4. Client Responsibilities
You are responsible for:
Ensuring you have the right to share customer data with us
Complying with all laws, including GDPR and other data protection requirements
Providing accurate and up-to-date business information
Maintaining your own internet, phone, and IT systems
You must not misuse the service or interfere with its operation.
5. Data Protection
5.1 When processing your customers’ personal data, we act as Data Processor; you remain the Data Controller.
5.2 Data is processed solely to deliver the service, including via trusted third-party providers (such as Twilio).

5.4 Both parties agree to comply with the UK GDPR and Data Protection Act 2018.
6. Service Standards & Limitations
6.1 We will exercise reasonable skill and care in delivering the service.
6.2 We cannot guarantee uninterrupted service and are not liable for outages outside our control (e.g., internet or third-party provider failures).
6.3 We are not responsible for any indirect loss, such as lost profits, business, or reputation.
6.4 Our total liability is limited to the fees you paid in the preceding three (3) months.
7. Term & Termination
7.1 This Agreement starts on the date of your first payment.
7.2 You may cancel at any time by giving 30 days’ written notice.
7.3 We may terminate immediately if you:
Breach these terms
Fail to pay fees
Misuse the service
7.4 Upon termination, service access ends and all outstanding fees remain due.
8. Intellectual Property
8.1 All intellectual property rights in our services, software, and materials remain owned by us or our licensors.
8.2 You are granted a non-exclusive, non-transferable licence to use the service for your own business during your subscription.
9. General
9.1 This Agreement is governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the English courts.
9.2 We may update these terms periodically and will notify you of any material changes.
9.3 This Agreement constitutes the entire agreement between us, superseding all prior discussions or arrangements.
By completing payment, you confirm that you have read, understood, and agree to these Terms & Conditions.
